Mosaiq Terms of Use
1. Introduction
These Terms of Use (“Terms”) govern access to and use of the Mosaiq website, platform, applications, content, and related services (collectively, the “Services”) made available by Mosaiq. By accessing or using the Services, you agree to be bound by these Terms, as well as any additional agreements, policies, or guidelines that may apply to specific Services, features, or contractual relationships.
If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use the Services.
2. Eligibility and Authorized Use
The Services are intended for lawful business and informational purposes only. You may use the Services only if you are legally capable of entering into a binding agreement and are authorized to access the relevant Services.
Access to certain parts of the Services may be restricted to authorized users, clients, personnel, or other approved parties. You are responsible for ensuring that your use of the Services is consistent with applicable law, contractual obligations, internal policies, and any instructions provided by Mosaiq.
3. Scope of Services
Mosaiq provides software, reporting, operational, informational, and related services as determined from time to time. The specific scope, availability, and functionality of the Services may depend on the applicable subscription, agreement, implementation, configuration, jurisdiction, or relationship with Mosaiq.
Mosaiq may modify, enhance, suspend, or discontinue all or part of the Services at any time, including to improve functionality, maintain security, comply with legal requirements, or perform maintenance and operational updates.
4. Account Security and Credentials
Where access credentials are required, you are responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account, except to the extent caused by Mosaiq’s failure to maintain appropriate controls.
You must promptly notify Mosaiq of any suspected or actual unauthorized access, misuse of credentials, or other security concern related to your account or use of the Services. Mosaiq may suspend or restrict access where necessary to protect the security, integrity, or availability of the Services or related data.
5. Acceptable Use
You agree not to:
- use the Services for any unlawful, fraudulent, deceptive, or unauthorized purpose;
- attempt to gain unauthorized access to systems, networks, environments, accounts, or data;
- interfere with, disrupt, damage, or impair the operation or security of the Services;
- copy, reproduce, modify, distribute, reverse engineer, decompile, or create derivative works from the Services, except as expressly permitted by applicable law or written agreement;
- upload, transmit, or distribute malicious code, harmful content, or material that infringes the rights of others;
- use the Services in a manner that violates confidentiality, privacy, intellectual property, or other legal rights; or
- misrepresent your identity, affiliation, authority, or entitlement to access the Services.
6. User Content and Data
To the extent you submit, upload, transmit, or otherwise make data, files, documents, or content available through the Services (“User Content”), you are responsible for ensuring that you have all necessary rights, permissions, and legal bases to do so.
You retain ownership of your User Content, subject to any rights granted to Mosaiq as necessary to provide, support, secure, maintain, and improve the Services, and subject to any separate agreement governing the relationship between Mosaiq and the applicable client or user.
You represent that your User Content does not violate applicable law, third-party rights, contractual restrictions, or internal obligations. Mosaiq may remove, restrict, or decline to process content where reasonably necessary to protect the Services, comply with legal requirements, or prevent misuse.
7. Privacy and Data Protection
Mosaiq processes personal data in accordance with its applicable privacy and data protection documentation, including its Privacy Policy and related internal or contractual controls. By using the Services, you acknowledge that personal data may be processed as necessary to provide, secure, administer, and support the Services, subject to applicable law and contractual commitments.
Where a user or client makes personal data available through the Services, that party remains responsible for ensuring an appropriate legal basis for such processing and for complying with any obligations applicable to its own collection and use of personal data.
8. Intellectual Property
Unless otherwise expressly stated, the Services, including their software, design, structure, interfaces, branding, text, graphics, logos, content, documentation, and related materials, are owned by or licensed to Mosaiq and are protected by applicable intellectual property and proprietary rights laws.
These Terms do not grant you ownership of the Services or any Mosaiq intellectual property. Except for the limited right to access and use the Services in accordance with these Terms and any applicable agreement, all rights are reserved by Mosaiq and its licensors.
9. Third-Party Services and Links
The Services may integrate with, rely upon, or provide access to third-party services, data providers, software, websites, or infrastructure. Such third-party components may be subject to separate terms, policies, and availability conditions determined by the relevant provider.
Mosaiq is not responsible for the content, availability, security, or practices of third-party services except to the extent expressly agreed in writing or required by applicable law. Users are responsible for reviewing and complying with any applicable third-party terms.
10. Availability, Maintenance, and Changes
Mosaiq seeks to maintain the availability and reliability of the Services, but uninterrupted or error-free operation is not guaranteed. The Services may be unavailable from time to time due to maintenance, updates, network issues, security events, force majeure events, or other circumstances beyond Mosaiq’s reasonable control.
Mosaiq may implement changes to the Services, including updates, enhancements, patches, interface changes, and security measures, without prior notice where reasonably necessary. Where appropriate, Mosaiq may provide notice of material changes.
11. No Professional Advice
Unless expressly stated otherwise in a separate written agreement, the Services and related content are provided for general informational, operational, or technological purposes and do not constitute legal, tax, accounting, investment, fiduciary, or other regulated professional advice.
Users remain responsible for evaluating outputs, reports, calculations, workflows, and information generated or displayed through the Services and for obtaining independent professional advice where needed.
12. Disclaimers
To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis. Mosaiq disclaims all warranties, representations, and conditions of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, or uninterrupted operation, except to the extent such disclaimers are not permitted by law or are expressly superseded by a written agreement.
Mosaiq does not warrant that the Services will be error-free, uninterrupted, fully secure against all threats, or suitable for every particular use case. Users are responsible for implementing appropriate review, governance, and control processes in connection with their use of the Services.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Mosaiq shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, revenue, business opportunity, goodwill, data, or anticipated savings, arising out of or related to the use of, or inability to use, the Services, even if advised of the possibility of such damages.
To the extent permitted by law, Mosaiq’s aggregate liability arising out of or relating to these Terms or the Services shall be limited to the amount paid, if any, by the applicable user or client for the relevant Services during the twelve (12) months preceding the event giving rise to the claim, unless a different limitation is stated in a separate written agreement.
Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law.
14. Indemnity
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Mosaiq, its affiliates, directors, officers, employees, and representatives from and against claims, losses, liabilities, damages, costs, and expenses arising out of or related to your misuse of the Services, your breach of these Terms, your User Content, or your violation of applicable law or third-party rights.
15. Suspension and Termination
Mosaiq may suspend, restrict, or terminate access to all or part of the Services at any time where reasonably necessary to address security risks, suspected misuse, legal requirements, operational concerns, non-payment, breach of these Terms, or other legitimate business or compliance reasons.
Upon termination or suspension, your right to access the affected Services will cease to the extent applicable. Provisions of these Terms that by their nature should survive termination shall survive, including those relating to intellectual property, disclaimers, liability limitations, confidentiality, governing law, and dispute resolution.
16. Confidentiality
Users who access non-public information through the Services must maintain the confidentiality of such information and must not disclose or use it except as authorized and consistent with applicable law, contractual restrictions, and internal obligations. This includes confidential business information, technical information, personal data, credentials, reports, and any non-public materials made available through the Services.
17. Compliance with Law
You agree to use the Services in compliance with all applicable laws, regulations, sanctions, export controls, privacy requirements, and contractual obligations. You must not use the Services in any jurisdiction or manner prohibited by applicable law.
18. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws applicable to the Mosaiq contracting entity or, where no separate written agreement applies, the laws of the jurisdiction in which Mosaiq is organized, without regard to conflict of laws principles.
Any dispute arising out of or relating to these Terms or the Services shall be subject to the courts or dispute resolution process specified in the applicable agreement with Mosaiq or, if none applies, the competent courts of the applicable jurisdiction of organization of Mosaiq, unless otherwise required by mandatory law.
19. Changes to These Terms
Mosaiq may update these Terms from time to time to reflect changes in the Services, applicable law, business operations, security requirements, or legal structure. The updated version will become effective upon posting or upon the date indicated in the revised document, unless otherwise required by law.
Continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by law.
